TNR Business Solutions - Service Terms and Conditions

1. Acceptance of Terms

By accessing and using the services of TNR Business Solutions ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Services

TNR Business Solutions provides the following services:

2.1 Digital Marketing Services

  • Search Engine Optimization (SEO)
  • Web Design and Development
  • Social Media Management
  • Content Creation and Marketing
  • Paid Advertising Management
  • Email Marketing Campaigns

2.2 Insurance Services

  • Auto Insurance
  • Home Insurance
  • Life Insurance
  • Business Insurance
  • Umbrella Insurance

3. Service Agreements

3.1 Digital Marketing Services

  • Services are provided on a contract basis with specific deliverables outlined in individual service agreements
  • Results may vary based on market conditions, competition, and client cooperation
  • We do not guarantee specific ranking positions or traffic increases
  • Client must provide necessary access to accounts, websites, and relevant platforms

3.2 Insurance Services

  • Insurance products are provided through licensed insurance carriers
  • Coverage terms and conditions are subject to carrier underwriting guidelines
  • Premiums and coverage are subject to carrier approval and market conditions
  • Claims are handled directly by the insurance carrier

4. Payment Terms

4.1 Digital Marketing Services

  • Payment terms are specified in individual service agreements
  • Monthly services are billed in advance
  • Project-based services require 50% deposit before work begins
  • Payment is due within 30 days of invoice date

4.2 Insurance Services

  • Insurance premiums are paid directly to the insurance carrier
  • Commission is paid by the carrier to TNR Business Solutions
  • No additional fees are charged to clients for insurance services

4.3 Late Payments

Late payments may result in service suspension and a late fee of 1.5% per month on outstanding balances.

5. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Grant necessary access to accounts and platforms
  • Respond to requests for information in a timely manner
  • Make payments according to agreed terms
  • Comply with all applicable laws and regulations
  • Not engage in any illegal or unethical activities

5.1 Communications and Electronic Consent

By submitting a form, requesting a quote, or otherwise asking us to contact you, you consent to receive communications related to your inquiry or account by email, phone call, and, where you provide a mobile number, text message. Message frequency varies. Message and data rates may apply. You can opt out of nonessential text messaging by replying STOP where applicable.

6. Intellectual Property

6.1 Client Content

Clients retain ownership of their content, including text, images, and other materials provided to us.

6.2 Our Work Product

Work product created specifically for clients becomes their property upon full payment. We retain the right to use general methodologies, templates, and knowledge gained.

6.3 Third-Party Content

We respect third-party intellectual property rights and expect clients to do the same. Clients are responsible for ensuring they have rights to all content they provide.

7. Confidentiality

We maintain strict confidentiality regarding client information and business operations. We will not disclose confidential information to third parties without written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the amount paid for services
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for third-party actions or platform changes
  • Results are not guaranteed and may vary

9. Service Modifications

We reserve the right to modify or discontinue services with 30 days' notice. We will work with clients to minimize disruption during transitions.

10. Termination

10.1 Client Termination

Clients may terminate services with 30 days' written notice. Payment is required for all work completed up to the termination date.

10.2 Our Right to Terminate

We may terminate services immediately if:

  • Client fails to pay invoices within 60 days
  • Client engages in illegal or unethical activities
  • Client breaches these terms and conditions
  • Client provides false or misleading information

11. Dispute Resolution

Any disputes arising from these terms or our services will be resolved through:

  • Good faith negotiation between parties
  • Mediation if negotiation fails
  • Binding arbitration in Greensburg, Pennsylvania
  • Pennsylvania state law governs these terms

To the extent arbitration is unavailable or a court proceeding is permitted, the parties agree to venue in Westmoreland County, Pennsylvania, unless another venue is required by applicable law.

12. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures.

13. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14. Entire Agreement

These terms, together with any service agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.

15. Amendments

We may modify these terms at any time by posting updated terms on our website. Continued use of our services constitutes acceptance of modified terms.
